Empathiq, LLC. ("Empathiq," "we," "us," or "our") provides its Services through a secure, synergistic ecosystem built on trusted infrastructure partners. While our delivery is powered by third-party technologies, Empathiq remains the direct provider of service, support, and accountability for your experience.

1. Account Responsibilities

• You must provide accurate information when creating an account.

• You are responsible for maintaining the security of your login credentials.

• You are responsible for all actions taken under your account.

• You agree not to use our Services for any unlawful or prohibited purposes. Refer to our Acceptable Use Policy.

2. Use of Services

• You may use the Services only as intended and permitted by law.

• You may not use the Services to exploit, harm, or impersonate others.

• Empathiq reserves the right to suspend or terminate your account for violations of these Terms or misuse.

3. Privacy and Data

Your use of our Services is subject to our Privacy Policy, which outlines how we collect, use, and protect your data.

Some Services—such as the Script feature—may involve sensitive or regulated data (e.g., PHI). These Services are powered through secure integrations with HIPAA-compliant infrastructure partners. Empathiq does not access PHI unless authorized.

4. Payment and Billing

• Certain features of the Services may require payment. Billing details are shared during signup or contract negotiation.

• All fees are exclusive of taxes. Payment processors are PCI-compliant, and Empathiq does not store full payment card details.

• Subscriptions may be paused, modified, or cancelled per the terms in your service agreement or by contacting support.

5. Availability & Modifications

• We strive to ensure reliable uptime but make no guarantees of uninterrupted service.

• We reserve the right to change, suspend, or discontinue any part of the Services at any time.

• We may update these Terms; we’ll notify you of material changes.

6. Intellectual Property

• All content and intellectual property in Empathiq’s Services are owned by Empathiq or its licensors.

• You may not reproduce, resell, or exploit the Services without written consent.

• You retain ownership of content you upload but grant us a limited license to operate the Services.

7. Subprocessors and Infrastructure

To operate our Services, Empathiq engages trusted infrastructure providers. These include secure hosting platforms and service tools. A current list of subprocessors is available here.

Our infrastructure partners include:

• Cloud and database hosting

• Analytics tools

• Customer support systems

• HIPAA-compliant form technology for Script

You remain the data controller. Empathiq acts as the processor in compliance with your instructions and applicable regulations.

8. Termination

• You may cancel your account at any time. After cancellation, data may be retained for a limited time before deletion.

• We may suspend or terminate access if these Terms are violated or the Services are misused.

9. Limitation of Liability

To the fullest extent permitted by law:

• Empathiq is not liable for indirect, incidental, or consequential damages.

• We are not responsible for losses caused by third-party tools or integrations.

• Your sole remedy for dissatisfaction is to stop using the Services.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
